Hendrick Porsche is honored to be a participant of the 2008 Charlotte International Auto Show which begins Thursday November 20th and runs through Sunday, November 23rd. The auto show will be held at the Charlotte Convention Center, which is the same location as the Porsche Parade this summer. If you were able to attend the Parade, you know what a great venue this is to host such an event! Jimmie Johnson and the No. 48 Lowe's team led 217 of the 313 laps on Sunday at Phoenix International Raceway en route to their seventh victory in 2008. The effort helped the No. 48 team extend their point lead to 141 over the second-place team with one race remaining. Porsche Buys VW

LONDON - Clever preparation by Porsche means that Tuesday's ruling by European Court of Justice against the so-called Volkswagen Law, which shields the carmaker from foreign takeovers, won't usher in a wave of suitors from overseas but will pave the way for the luxury car manufacturer to take full control of its midmarket compatriot.

Just five minutes after the European Union's highest court announced it had overturned the rules to cap shareholders' voting rights at 20.0%, Porsche (other-otc: PSEPF - news - people ), the luxury carmaker, which owns 31.0% of VW, released its own statement saying that it "welcomed" the ruling.

"With a voting interest of just above 30% in Volkswagen (other-otc: VLKAF - news - people ), we obviously have a high interest in exercising our voting rights in full," said Porsche Chief Executive Wendelin Wiedeking.

It's something of an open secret that Porsche eventually wants to have full control of Volkswagen and that Porsche Chairman Ferdinand Piech, 70, wants to bring the two companies back together and run them as they had been originally, when founded by his grandfather, Ferdinand Porsche.

In March this year, Porsche increased its stake in VW to 30.9%, from 27.3%, in preparation for the abolition of the law that erstwhile had helped it keep hedge funds, automotive rivals and other investors at bay. (See: "Porsche Saves VW For Later")

Together with the German state of Lower Saxony, which had also raised it stake, to 20.36%, it was able take a 51.26% blocking position ahead of the ruling, which Porsche correctly predicted would repeal the Volkswagen Law.

But according to Global Insight analyst Christoph Stuermer, many investors believe Porsche has now obtained a packet of call options that could let it buy 20% more of Volkswagen and take its share of the company to either just above or just below 50.0%.

"It's been hinted by the head of finance at VW that they are in a position to act very rapidly if needed," said Stuermer. That was as much confirmation as one could give without having actually stated that they had the options, he added.

Porsche denied that it has call options to buy 20% of Volkswagen, but said that it did have so-called cash setlled options, which qualify for compensation between a price that is locked in and the actual share price. For example, if Porsche locks in 100 euros ($142.20) and the share price goes to 150 euros ($213.31), it gets 50 euros ($71.10) in cash. Porsche spokesman Frank Gaube wouldn't say who Porsche had bought the options from, but did say it represented "a lot."

He said the rumor of "call options" for the actual delivery of shares was being created to drive VW's share price. But he did acknowledge that "more control of Volkswagen makes sense." He said that changes in Porsche's stake in Volkswagen were entirely up to Porsche's supervisory board, but the issue was not on the agenda for its next meeting on November 12. "We're not in any hurry," he added.

Whether with options or through buying shares directly (if it does buy inflated shares, it could at least get compensation), the question is whether Porsche will eventually buy 49.9%, or 50.1%, of Volkswagen. The former could be risky since it leaves the way open for another company or fund to take control suddenly, but the latter is expensive since under German corporate law any shareholder whose equity goes beyond 50% must also make a takeover offer.

Porsche could well go through the rigamarole of making a bid some time next year, as it did when increasing its stake in March, and tender an offer below the current share price or one that shareholders similarly would refuse. But in doing so, it would also be legally obliged to prove that it had enough money to buy Volkswagen. In March, Porsche was thus forced to open a 36 billion euro ($51 billion) credit line with a number of German banks.

"You don't get a credit line for 36 billion euros [$51 billion] for free," said Stuermer. Given that every million counts for a small luxury carmaker like Porsche, it would probably rather be spared the expense.

What is clear is that in less than six months time, the EU court's judgment will be ratified into German corporate law--a spokesman for Germany's Justice Ministry told Thomson Financial News it normally takes six months to pass a law, "but in this particular case, it could be less than that"--and Volkswagen itself is obliged to adopt it formally as soon as possible.

Expect Porsche to use its next shareholders' meeting not only to establish the newly adjusted law in its statutes but to introduce a package of new rules to modernize a corporate system at Volkswagen that is about 50 years old. Issues like the relationship between the workers council and the management, management rules and accounting principles are all outdated.

"There is a big master plan at Porsche, and they know exactly what they want to be doing," said Stuermer.

Shares in Volkswagen closed down 6.0%, or 10.69 euros ($15.23), at 168.98 euros ($240.75), on Tuesday afternoon in Frankfurt, probably because of profit-taking since investors have anticipated the ruling. The shares have risen more than 40% in the past three months.

Porsche closed up 4.1%, or 66.90 euros ($95.32), to 1,707.00 euros ($2,432.12).

What can bring more than 150,000 people to Matthews? What can receive the support of more than 40 sponsors? What will more than 2,000 local residents be willing to volunteer for? What can bring all aspects of our community – Business, Residents, Non-Profit Organizations and Government – together for a common cause? What happens over four days, once a year?

The answer is Matthews Alive! An event whose primary mission for the past 16 years is to produce a quality four day family oriented festival. An event that is run by a voluntary board of directors. An event that gives its profits to the non-profit organizations that work during the four day event.

This year we will see the return of the Matthews Chamber of Commerce Auto & Motorcycle Classic to downtown Matthews. This annual event will be held on Labor Day Monday around the village green in front of the Town Hall/Library. Folks will have an opportunity to not only see some outstanding vehicles, but also tour our 1874railroad depot and caboose. What a venue!!

How blessed we are to live in a community where businesses and people are willing to give back to their community. It would not be possible without all of these partnerships working together in harmony. From the parade (125 units) to arts and crafts (more than 100 booths) to the climbing wall and the quilt show. Not to mention the food and the entertainment, family fun area and vintage cars – it gives everyone an opportunity to truly “Discover Matthews”.

Why travel away from home this Labor Day? Stay close by and visit Matthews Alive! Check out the scheduled events found in the insert in this newspaper, or online at www.matthewsalive.org. From one end of Matthews to the other, we have something for everyone as you come to Matthews and discover our town.

It’s hard to believe that it’s been over a month since the 2008 Porsche Parade, especially with the “buzz” that is still going on in our regions and online.

Jimmie Johnson and the No. 48 Lowe's team captured their second Brickyard 400 win in three years Sunday at historic Indianapolis Motor Speedway. The victory is Johnson's second in 2008 and helped vault him to fourth-place in the driver point standings.
